AGREEMENT FOR THE SUPPLY AND INSTALLATION OF GOODS
The Good Veranda Company
1. PRELIMINARY PROVISIONS
1.1 Parties: This Agreement is formed between The Good Veranda Company ("the Contractor") and the person or entity identified in the associated order documentation ("the Customer").
1.2 Entire Agreement: These terms, combined with the attached work schedule and survey notes, constitute the entire agreement. The Customer confirms they have read and accepted these terms upon signing or placing an order.
1.3 Goods: "Goods" refers to all products, structures, and materials supplied by the Contractor to the Customer’s property ("the Premises").
2. PROJECT SPECIFICATIONS & SURVEYS
2.1 Site Assessment: A mandatory site survey will be conducted to determine installation feasibility. If technical issues make installation impossible, the Contractor will notify the Customer within seven days of the feasibility study, cancel the agreement, and refund all monies paid.
2.2 Customer Validation: The Customer verifies that all details in the survey notes are accurate. The goods are bespoke and manufactured specifically for the Customer’s requirements.
2.3 Amendments: Any request to alter specifications must be submitted in writing to info@thegoodverandacompany.com within 7 days of the initial deposit.
The Contractor retains the right to reject changes based on feasibility.
3. FINANCIAL TERMS
3.1 Payment Schedule: The Customer agrees to the following strict payment structure:
Stage 1: 50% of the total contract value is due immediately upon ordering.
Stage 2: 40% of the total contract value is due when the Goods arrive at the Contractor's warehouse.
Stage 3: The final 10% is due immediately upon the completion of installation.
3.2 Disputes & Retentions: In the event of a minor defect or dispute, the Customer is not permitted to withhold the full balance. A maximum retention of £500 is permitted until the issue is resolved; all other funds must be cleared.
3.3 Overdue Accounts:
Ownership of the Goods remains with the Contractor until the balance is paid in full.
Late payments will incur interest at a rate of 2.5% above the Royal Bank of Scotland base rate, accruing daily.
4. SITE CONDITIONS AND INSTALLATION
4.1 Scheduling: The Contractor will provide an installation date with at least three days' notice.
4.2 Force Majeure: The Contractor is not liable for delays caused by events outside their reasonable control, including extreme weather, strikes, civil unrest, or supply chain disruptions.
4.3 Customer Obligations:
Site Readiness: The Customer must ensure the site is safe, clear of other trades, and accessible.
Groundworks: If the Customer is responsible for the base/groundworks and these are found to be inadequate upon the installation team's arrival, a penalty fee of £1,000 + VAT will be charged to cover wasted time and resources.
Electrical: The Customer must employ a qualified electrician for any electrical connections (e.g., patio heaters). The Contractor's technicians are not permitted to perform mains electrical work.
5. WARRANTIES AND LIABILITY
5.1 Coverage Periods: The Contractor provides the following guarantees against manufacturing and workmanship defects:
Structural Framework: 5 years.
Installation: 1 Year
Accessories (Motors, Lights, Blinds): 5 years (Manufacturer’s Guarantee).
Powder Coating: 5 years against corrosion/fading, provided the site is more than 500m from a saltwater high tide line.
5.2 Limitations:
Glass: No warranty covers glass breakage or damage occurring after installation.
Weather Resistance: While products are tested for wind and rain, they are not hermetically sealed. Water ingress due to extreme weather, condensation, or porous walls is not considered a defect.
Call-Out Charges: If a technician attends the site for a warranty claim and finds no fault, a charge of £500 + VAT will be levied.
Notification: Claims must be reported in writing within 7 days of discovery.
6. REGULATORY AND GENERAL
6.1 Planning Permission: It is the sole responsibility of the Customer to ascertain if planning permission is required. The Contractor accepts no liability for unauthorized installations.
6.2 Cancellation Rights: The Customer may rescind the contract within seven days of receiving the confirmation of acceptance of cancellation. If installation begins within this period with Customer consent, the right to cancel is lost.
6.3 Colour Fidelity: The Contractor uses RAL codes for colour matching. The Customer acknowledges that exact matches with third-party products cannot be guaranteed due to batch variations.
6.4 Title: The Customer is prohibited from selling or transferring the Goods to a third party until full title has passed (i.e., full payment has been made).
